Phase 1: Origination & Pre-studies

Objectives

  • Identify project opportunities aligned with national development priorities and qualify them to retain only the most relevant and feasible.
  • Turn an initial vision or concepts into preliminary structured projects ready for in-depth study.

Key actions

  • Strategic sourcing: analysis of National Development Plans and field prospecting to detect potential projects in vital sectors.
  • Screening & scoring: multi-criteria assessment of project ideas (country risks, socio-economic impact, projected returns). Only initiatives with an acceptable risk/return ratio enter the pipeline.
  • Pre-structuring: definition of the initial technical scope and outline business model.
  • Early stakeholder engagement: identification of the ministries and sponsors involved and first exchanges to align the vision.

Phase 2: Bankability Engineering & Financial Structuring

  • In-depth feasibility studies: detailed techno-economic studies refining CAPEX and OPEX and validating the technical solution.
  • Advanced financial modelling: long-term dynamic models (15–20 years); key indicators (IRR, NPV, DSCR).
  • Legal and institutional structuring: choice of project vehicle, PPP structuring where applicable, preparation of term sheets.
  • Due diligence preparation: building the electronic data room, preventive audits (legal, tax, technical).

  • Blended finance engineering: hybrid schemes combining grants, concessional debt, commercial debt and equity to lower the WACC.
  • Investor marketing & roadshows: teasers and presentations; roadshows with development finance institutions, funds and banks.
  • Term negotiation: leading term sheet negotiations (covenants, guarantees) to secure favourable conditions.
  • Financial close: managing the process through to signature and effective disbursement.

  • Provide monitoring, fiduciary control and reporting during execution to guarantee transparency and results.

  • Execution steering: BIPADE acts as owner’s engineer, supervising cost-schedule-quality; steering committees, contractor monitoring, validation of key deliverables.
  • Fiduciary management during execution: disbursement procedures under lenders’ rules, control of fund use, regular financial reports.
  • On-site ESG monitoring: application of environmental and social measures (ESMP follow-up), alerts in case of drift.
  • Reporting & results-based management: periodic reports on physical and financial progress and result indicators (RBM).
  • Project closure: works acceptance, contractual close-out, capitalisation of lessons learned.
